GENERAL TERMS AND CONDITIONS

1. DEFINITIONS

1.1. Printing House / Contractor
Kunke Poligrafia Sp. z o.o., with its registered office in Inowrocław, Poland, engaged in LED-UV printing, including printing on electrostaticfilms, self-adhesivelabels, and other synthetic substrates.

1.2. Authorized Representative
Anemployee of the Printing House duly authorized to represent the Printing House in dealings with the Client within the scope of these General Terms and Conditions.

1.3. Client
Any natural person, legalentity, ororganizational unit without legal personality that submits a request for quotationo renters into an agreement with the Printing House.

1.4. Request for Quotation (RFQ)
A statementsubmitted by the Client electronically for the purpose of obtaininganoffer.

1.5. Offer
A statementissued by the Printing House in response to the RFQ, based on the technical and commercialparametersprovided by the Client.

1.6. Order
Anelectronicstatement by the Client constitutingacceptance of the Offer and these General Terms and Conditions.

1.7. Production Materials
Print-readyfiles (PDF format) provided by the Client and prepared in accordance with Appendix No. 1 – LED-UV Printing Technical Specification.


2. FORMATION OF THE AGREEMENT

2.1. The Client submitsan RFQ electronically to the Printing House’s Sales Department. The Printing House issuesanOfferbased on the informationprovided.
2.2.Acceptance of the Offer by the Client constitutesplacement of an Order.
2.3.Submission of an Order constitutesacceptance of these General Terms and Conditions.
2.4. The Agreement isdeemedconcluded upon writtenconfirmation of Order acceptance by the Printing House. Written form includeselectroniccommunication, in particular e-mail.


3. PERFORMANCE OF THE AGREEMENT

3.1. The Printing House shallperform the Order in accordance with Appendix No. 1 – LED-UV Printing Technical Specification.
3.2. The Client shall provide Production Materials in PDF format, CMYK colorspace. The Printing House shall not be liable for anyerrorsarising from the materials supplied by the Client, includingtypographical, graphic, orcolor profile errors.
A color proof, ifprovided, shallconstitute the sole reference for colorevaluation. In the absence of a color proof, colorconformityshall be assessed in accordance with ISO 12647-2.


4. CLAIMS AND COMPLAINTS

4.1.Quantityclaimsmust be submittedwithinseven (7) days, and qualityclaimswithinfourteen (14) days from delivery. Failure to complyshallresult in forfeiture of claimrights.
4.2.Claimsshall be reviewedwithinseven (7) business days.
4.3. Transport-relatedclaimsshall be consideredonly upon submission of a carrierdamage report.
4.4.Submission of a claimdoes not suspend the Client’spaymentobligation.
4.5.Anystatutory warranty liabilitytowardsClientswhoare not consumersisherebyexcluded to the fullestextentpermitted by law.


5. DELIVERY

5.1. Delivery may be arranged by the Printing House orcollected by the Client.
5.2. Delivery shall be deemedcompleted upon transfer of the goods to the Client or to the carrier.
5.3.Risk of lossordamagepasses to the Client upon handover to the carrier.
5.4. The Client shallinspect the shipmentprior to signinganydeliverydocumentation.
5.5. The Printing House shall not be liable for damageresulting from improperstorageafterdelivery.


6. PAYMENTS

6.1.Prepaymentprior to commencement of productionis the standard paymentmethod.
6.2. Trade creditmay be grantedsubject to positivecreditassessment.
6.3. In the event of paymentdelaysexceedingfourteen (14) days, the Printing House maysuspendexecution of subsequentorders.
6.4. Suspension of ordersshall not entitle the Client to anyclaims for damagesorpenalties.
6.5.Statutoryinterest for latepaymentshallapply.


7. LIABILITY

7.1. The Printing House shall not be liable for delayscaused by eventsbeyonditsreasonablecontrol, including but not limited to equipmentfailure, poweroutages, rawmaterialdefects, orforcemajeure.
7.2. The Printing House’stotalliabilityshall be limited to the net value of the Order, excludingcases of willfulmisconduct.
7.3. The Printing House shall not be liable for indirectdamagesorloss of profits.


8. PRODUCT USE AND STORAGE CONDITIONS

8.1. Products manufacturedusing LED-UV technologyareintended for useunderconditionsspecified in the Product Specification.
8.2. Products must be stored and used in dryconditionsattemperaturesbetween 15°C and 25°C and relativehumidity of 40–60%.
8.3. The Printing House shall not be liable for defectsresulting from:
(a) UV exposure, moisture, chemicals, heat, ormechanicalabrasion;
(b) improperstorageorapplication;
(c) absence of a color proof;
(d) materialbatchvariationswithin ΔE ≤ 5 tolerance.

8.4.Electrostatic and self-adhesive products shall be applied only to smooth, clean, non-porousindoorsurfaces.
8.5.Discoloration, loss of adhesion, ordeformationdue to environmentalexposureshall not constitute a defect.
8.6.Guaranteedcolorstability for Toyo LED-UV Resistantinksissix (6) months from the productiondate, subject to properstorage.


9. FINAL PROVISIONS

9.1. The Printing House reserves the right to amendthese GTC. Amendmentsbecomeeffective upon notification to the Client.
9.2.Anyamendments to the Agreement must be made in writing.
9.3.Invalidity of anyprovisionshall not affect the validity of the remainingprovisions.
9.4. In case of conflictbetween the Agreement and these GTC, the Agreement shallprevail.
9.5.These GTC shall be governed by and construed in accordance with Polish law.
9.6.Anydisputesshall be subject to the exclusivejurisdiction of the courtscompetent for the registeredoffice of Kunke Poligrafia Sp. z o.o.
